Board Members are trustees, responsible for executing our mission, safeguarding our assets, and ensuring ANBA\u2019s future. Members provide clarity and strategic direction and support the management team with guidance, assistance, and oversight.\u00a0 ANBA\u2019s Executive Director calls upon Board members for support in resource development, fundraising, advocacy, public relations, and community outreach. <a name=\"_Toc198713863\"><\/a><\/p>\n<p>The ANBA Board has 10 to 25 voting members with the Executive Director serving as an ex-officio, nonvoting member. Members are elected by a majority vote of the entire Board. ANBA Bylaws detail the eligibility criteria, specific functions, and terms of office. All elected and appointed officers are required to sign Consent-to-Serve and Conflict of Interest documents.[\/vc_column_text][\/vc_tta_section][vc_tta_section i_type=&#8221;entypo&#8221; i_icon_entypo=&#8221;entypo-icon entypo-icon-tools&#8221; add_icon=&#8221;true&#8221; title=&#8221;Board Responsibilities&#8221; tab_id=&#8221;1645742069535-929c6e0f-57a2&#8243;][vc_row_inner][vc_column_inner][vc_column_text css=&#8221;.vc_custom_1783458228882{margin-bottom: 0px !important;}&#8221;]Board members provide ANBA their best efforts in four areas: oversight, policymaking, leadership and fiscal oversight.<\/p>\n<h4><strong>As <em>overseers<\/em>, the Board<\/strong><\/h4>\n<ul>\n<li>Offers advice and counsel to the Executive Director<\/li>\n<li>Determines the required qualifications of the Executive Director, selects the ED, develops objectives, and evaluates the ED\u2019s performance<\/li>\n<li>Orients newly elected board members and supports their ongoing development and engagement<\/li>\n<li>Recommends prospective board members<\/li>\n<li>Replaces board members unable to continue serving<\/li>\n<\/ul>\n<h4><strong>As <em>policy-makers<\/em>, the Board<\/strong><\/h4>\n<ul>\n<li>Develops and revises the governance policies of Ability Now<\/li>\n<li>The Executive Director is responsible for the ongoing execution and administration of ANBA policies and practices.<\/li>\n<\/ul>\n<h4><strong><em>Collectively, <\/em>the Board<\/strong><\/h4>\n<ul>\n<li>Develops ANBA\u2019s policies, priorities and strategic plan<\/li>\n<li>Creates standing and ad hoc committees and defines their responsibilities<\/li>\n<li>Approves Bylaws amendments<\/li>\n<li>With the Executive Director, anticipates and responds to professional, societal, political and ethical issues that affect ANBA\u2019s mission, programs and well-being<\/li>\n<li>Assesses programs in relation to the needs of individuals served by Ability Now Bay Area<\/li>\n<li>Advances strategic alliances, collaborations and other affiliations;<\/li>\n<li>Represents ANBA publicly as requested in support of ANBA\u2019s mission<\/li>\n<\/ul>\n<h4><strong>As individual <em>leaders,<\/em> Board members<\/strong><\/h4>\n<ul>\n<li>Participate in all Board meetings and their committee meeting assignments as well as leadership conferences and other functions as requested<\/li>\n<li>Serve as mentors to new Board members and committee chairs<\/li>\n<li>Participate in at least one committee or task force, working to maximize its effectiveness and reporting to the Board<\/li>\n<li>Support Ability Now Bay Area\u2019s fundraising and information-gathering efforts in your residential community and place of employment<\/li>\n<li>Advise ANBA staff and Board about issues deserving ANBA\u2019s attention<\/li>\n<li>Review, evaluate and respond as necessary to minutes, action items and other Board materials<\/li>\n<li>Familiarize yourself about ANBA\u2019s efforts and activities sufficient to being conversant in public about ANBA<\/li>\n<li>Fully support Ability Now Bay Area\u2019s fund development activities, including events, corporate and foundation solicitations, planned giving, and other fundraising ideas.<\/li>\n<li>Make an annual financial gift to Ability Now Bay Area, per one\u2019s capacity to give<\/li>\n<\/ul>\n<h4><strong>As <em>financial stewards<\/em> of ANBA, the Board<\/strong><\/h4>\n<ul>\n<li>Ensure the organization\u2019s fiscal well-being and proper financial administration<\/li>\n<li>Review and approve ANBA\u2019s annual budget<\/li>\n<li>Ensure an independent financial audit of the organization each fiscal year<\/li>\n<li>Authorize reimbursement methods for Ability Now\u2019s major expenditures by means of organizational resolutions<\/li>\n<li>Approve special program funding for ANBA\u2019s maintenance, and advise and\/or secure professional advice on matters relating to funding and investments.<\/li>\n<\/ul>\n<p>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][\/vc_tta_section][vc_tta_section i_type=&#8221;entypo&#8221; i_icon_entypo=&#8221;entypo-icon entypo-icon-users&#8221; add_icon=&#8221;true&#8221; title=&#8221;Board Composition &amp; Responsibilities&#8221; tab_id=&#8221;1645748881451-1ab74cef-e8f8&#8243;][vc_column_text css=&#8221;.vc_custom_1783458569107{margin-bottom: 0px !important;}&#8221;]<\/p>\n<h4><strong>Composition<\/strong><\/h4>\n<p>The ANBA Board has 15 to 25 voting members; the Executive Director is an ex-officio, nonvoting member. The Board Committees include the Executive, Fund Development\/Recruitment, Finance, Audit and other ad hoc committees the Board President designates. Board members serve two-year terms that can be renewable.<\/p>\n<h4>Board President Duties<\/h4>\n<p>The Board President is chief elected officer of Ability Now. S\/he represents Ability Now and its interests; exercises personal leadership in motivating officers, staff and committees; leads in establishing ANBA goals; and partners with the Executive Director.<\/p>\n<p>The president&#8217;s responsibilities are:<\/p>\n<ul>\n<li>Preside at all Board meetings, conducted in accordance with the Ability Now Bylaws;<\/li>\n<li>Prepares the agenda with the Executive Director and reviews relevant meeting materials<\/li>\n<li>Prepares periodic reports to inform the Board and committees on ANBA\u2019s conditions and operations<\/li>\n<li>Solicits board member input on organizational and professional issues<\/li>\n<li>Directs the Board in policy-making and program development<\/li>\n<li>Work with the Executive Director to see that policies and programs are planned and approved by the Board and appropriate committees<\/li>\n<li>Act as an immediate advisor to and supervisor of the Executive Director<\/li>\n<li>Conducts the Executive Director\u2019s annual performance review<\/li>\n<li>Acts as a spokesperson for Ability Now to the public, media, legislative bodies, and related organizations and\/or designated other individuals to represent ANBA<\/li>\n<li>Appoints committees identified during the term of office;<\/li>\n<li>Serve as an ex officio member of all ANBA committees, except the Nominating Committee.<\/li>\n<\/ul>\n<h4><strong>Vice-President Duties<\/strong><\/h4>\n<p>The Vice President assists the President with the functions of the President\u2019s office.
